Terms of Service
Last updated October 15, 2026
1. Acceptance of these terms
By accessing or using the DSMPay platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
These Terms constitute a binding legal agreement between you and EventDSM LLC, an Iowa limited liability company ("EventDSM," "we," "us," or "our"). "You" means the individual or entity accessing the Service, including any tenant organization and its authorized staff.
2. The service
DSMPay is a software-as-a-service platform that allows event organizers ("tenants") to create and manage events, sell tickets, and accept payments from attendees. We provide tools and infrastructure; we are not a promoter, co-organizer, or guarantor of any event.
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.
3. Applications, accounts and eligibility
To become a tenant you must submit an application, provide accurate identifying information including a government-issued photo ID, and be approved by EventDSM. Approval is at our sole discretion. Submitting an application does not guarantee access.
You must be at least 18 years old and legally authorized to operate a business or sell tickets in Iowa to apply. By applying you represent that all information you provide is true, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
4. Plans, free trial and billing
We offer subscription plans at rates published on dsmpay.com. Plans are billed monthly in advance via Stripe. Prices are in US dollars and are subject to applicable taxes.
New tenants receive a 14-day free trial. No credit card is required to start a trial. At the end of the trial you must select a paid plan or your account will be suspended.
All fees are non-refundable except as expressly stated in the Cancellation or Refunds sections below. We reserve the right to change plan pricing with 30 days' written notice.
5. Cancellation
You may cancel your subscription at any time from your subscription management page. Cancellation takes effect at the end of your current billing period; you retain access through that date.
If you cancel, you remain responsible for any fees accrued before the cancellation effective date. Event and attendee data is retained for 90 days after cancellation and then permanently deleted unless you request earlier deletion.
We may cancel or suspend your account for violation of these Terms, non-payment, or any other reason at our discretion, with or without notice depending on the severity of the circumstances.
6. Your events, content and conduct
You retain ownership of all content you upload or create on the platform, including event descriptions, images, and attendee data. By posting content you grant EventDSM a limited, non-exclusive license to display and transmit that content solely to operate the Service.
You are solely responsible for your events and all content you post. You represent that your events comply with all applicable federal, state, and local laws, that you have all required permits and licenses, and that your content does not infringe any third-party rights.
You must not use the Service to promote events that involve illegal activity, discriminate on protected characteristics, or violate our Acceptable Use policy below.
7. Ticket sales and payment processing
Ticket payments are processed by third-party processors (Stripe, PayPal, Square) under their own terms of service. EventDSM does not store payment card data and is not a party to payment card transactions between you and your attendees.
You are responsible for setting accurate ticket prices, quantities, and descriptions. You are responsible for remitting all applicable taxes on ticket sales.
DSMPay charges a flat monthly subscription fee rather than per-ticket fees. Payment processor fees charged by Stripe, PayPal, or Square are separate and governed by your agreements with those processors.
8. Refunds and disputes
Refund policies for ticket purchases are set entirely by the tenant organizer. EventDSM does not issue refunds on behalf of tenants and is not a party to disputes between organizers and attendees.
If an attendee disputes a charge with their payment processor, the dispute is between the attendee, the organizer, and the payment processor. EventDSM may cooperate with payment processors in dispute resolution by providing transaction records.
Subscription fees paid to EventDSM are non-refundable except where required by applicable law or at our sole discretion in cases of documented service failure.
9. Acceptable use
You may not use the Service to: (a) violate any law or regulation; (b) transmit spam or unsolicited communications; (c) upload malicious code; (d) attempt to gain unauthorized access to our systems or another user's account; (e) scrape or harvest data from the platform without written permission; or (f) resell or sublicense the Service.
You may not use the Service to sell tickets to events that are fraudulent, deceptive, or that you do not have authority to organize. We reserve the right to remove any event and suspend any account that we reasonably believe violates this policy.
10. Suspension and termination
We may suspend or terminate your access to the Service immediately and without prior notice if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent activity, or posed a risk to us, other users, or attendees.
Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Disclaimers and limits of liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY IOWA LAW, EVENTDSM'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO EVENTDSM IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL EVENTDSM BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.
12. Changes to these terms
We may update these Terms at any time. We will provide at least 14 days' notice of material changes by email to your account address or by posting a notice on dsmpay.com. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.
13. Governing law
These Terms are governed by the laws of the State of Iowa, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Polk County, Iowa, and you consent to personal jurisdiction in those courts.
14. Contact
Questions about these Terms should be directed to EventDSM LLC at [email protected]. We will respond to written inquiries within 10 business days.
